Acceptance

By accessing our website, requesting a quote, approving a project, or using our services, you agree to these Terms. If you act for a business or other organization, you represent that you have authority to bind it. If you do not agree, do not use the website or order services. Additional written project terms accepted by both parties will control if they conflict with these Terms.

Services

Clip Aro Studio provides creative production and related studio services described on our website or in an individual proposal, quote, statement of work, or order confirmation. Project scope, deliverables, format, schedule, revision allowances, and client responsibilities are established in writing for each engagement. Timelines may depend on timely receipt of materials, instructions, feedback, and approvals from the client.

Quotes & Payment

Quotes are based on the information and scope available when issued and remain valid for the period stated in the quote. Work outside the agreed scope may require a revised quote, schedule, or written change approval. Payment terms, deposits, milestones, accepted payment methods, and applicable taxes will be stated in project documents or invoices. Unless disputed promptly and in good faith, invoices must be paid by their stated due dates.

Client Materials & Usage Rights

You retain ownership of materials you provide, including footage, images, audio, trademarks, scripts, and data. You grant us a limited license to access, copy, edit, process, and use those materials solely to perform the requested services. You represent that you have all permissions needed for this use. Deliverable usage rights are defined in the applicable project agreement and become effective only after all required payments are received.

Intellectual Property

Clip Aro Studio Inc. retains ownership of its pre-existing materials, production methods, templates, software, processes, know-how, and reusable design elements. Unless a project agreement expressly states otherwise, drafts, rejected concepts, working files, and internal production assets are not included in final deliverables. Third-party materials remain subject to their applicable licenses and restrictions.

Acceptable Use

You may not use our website or services to violate law, infringe intellectual property or privacy rights, distribute malware, impersonate others, facilitate fraud, or create unlawful, threatening, or intentionally deceptive material. You may not interfere with website security, attempt unauthorized access, scrape restricted areas, or misuse our systems. We may decline or suspend work that reasonably appears to violate these requirements.

Disclaimers

The website and services are provided on an “as available” basis. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Creative results involve subjective judgment, and we do not warrant that deliverables will satisfy every preference or function without interruption in every third-party platform or environment.

Limitation of Liability

To the fullest extent permitted by law, Clip Aro Studio Inc. will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, goodwill, or business opportunity arising from these Terms or our services. Our total liability for a claim will not exceed the amount paid to us for the specific service giving rise to that claim. These limits do not apply where prohibited by law.

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any legal action relating to these Terms or our services must be brought exclusively in the state or federal courts located in San Francisco County, California, and each party consents to their jurisdiction.

Changes

We may revise these Terms to reflect service, legal, or operational changes. Updated Terms will be posted on this page with a revised effective date. Continued use after publication constitutes acceptance of the updated Terms.
